Senior Manager M&A (Legal)
Job Description:
Job Summary:
We are seeking a highly experienced and commercially astute Senior Manager – Mergers & Acquisitions (M&A) with a legal background, to lead end-to-end M&A transactions, from origination to integration, for a growing insurance broking business. The ideal candidate will have deep expertise in deal structuring, due diligence, contract negotiation, regulatory compliance, and post-deal integration with strong cross-functional coordination capabilities.
Key Responsibilities:
M&A Strategy & Deal Execution:

Identify, evaluate, and execute M&A opportunities aligned with the company’s strategic goals.
- Support strategic planning and inorganic growth strategy in collaboration with the leadership team.
- Lead financial, legal, and operational due diligence processes.
- Draft, review, and negotiate term sheets, NDAs, SPAs, SHAs, and other transaction documents.
- Collaborate with external advisors (law firms, financial advisors, tax consultants) and internal stakeholders.
Regulatory & Legal Compliance:
- Ensure compliance with IRDAI and other applicable regulations in M&A and corporate structuring (Companies Act, FEMA, SEBI, Competition Act, etc.).
- Obtain necessary regulatory approvals for transactions, including filings with IRDAI, MCA, and other statutory bodies.
- Advise on implications of transaction structures from a legal and regulatory perspective.
- Monitor and interpret regulatory changes affecting M&A and business expansion strategies.
Stakeholder Management & Governance:
- Work closely with CXOs, legal, finance, and business heads throughout the transaction lifecycle.
- Prepare internal presentations, Board materials, and management updates.
- Ensure strong governance in documentation, decision-making, and execution processes.
Integration & Post-Deal Management:
- Support integration strategy and execution, especially legal entity mergers, license transfers, employee transitions, and asset/liability consolidation.
- Identify and manage legal and operational risks during integration.
Key Requirements:
- LLB/LLM from a recognized university; CS / MBA (Finance & Strategy) would be a plus.
- 10+ years of experience in M&A, corporate legal advisory, or corporate development roles
- Prior experience in insurance broking, insurance, or regulated financial services is highly desirable
- Hands-on experience in managing end-to-end M&A transactions
- Familiarity with IRDAI regulations, Companies Act, FEMA, SEBI, and related corporate laws
- Excellent communication, stakeholder management, and advisory skills.
