Job Description:

Designation: AM / Manager CS legal

Experience: CS or ICSI with 5 yrs experience 

Job Location: Mumbai, Nariman Point

Salary Range:
 Best in industry Mobile Reimbursement , LTA , Annual Bonus, Pf , Gratuity 

Working Days: 5 days a week (Mon to Fri) and (Sat and Sun fixed off)

Work Timings: 10:00 AM – 6:00 PM

Key Responsibilities

  1. Corporate Governance
  • Ensure timely compliance with corporate governance codes, SEBI laws, Companies Act, and all other regulations applicable to a listed company.
  • Develop and implement internal policies/process to meet corporate governance standards, as per regulatory requirements.
  • Coordinate with external legal advisors and auditors including secretarial auditors on governance matters and bankers.
  1. Board and Shareholder Meetings
  • Co-ordinate for board meetings, annual general meetings (AGMs), and extraordinary general meetings (EGMs) and its pre and post work
  • Prepare agendas, notices, minutes, and resolutions of meetings.
  • Ensure that all board decisions are accurately documented
  • Maintain a proper record of all company meetings and resolutions.

3.Compliance and Regulatory Affairs

  • Monitor and ensure compliance with regulatory requirements, including the stock exchanges, ROC, RBI and other relevant authorities.
  • Submit regulatory filings such as annual reports, financial statements, and shareholder communications as required.
  • Timely completion of the Compliances as may be required under Companies Act, SEBI laws, RBI etc.
  • Stay updated on changes in laws and regulations affecting the company, particularly those related to SEBI, Companies Act, RBI etc.
  • To keep up to date all records of the Company as may be required under the Companies Act, Listing Regulations
  1. Shareholder Relations and Communication
  • Ensure effective communication and timely dissemination of information to shareholders.
  • Oversee the handling of shareholder queries and concerns/grievances.
  • Coordinate the issuance of share certificates, dividend payments, and other shareholder-related matters.

5.Statutory Records and Filings

  • Maintain all statutory records and registers of the Company
  • Ensure that statutory filings are made accurately and on time
  • Coordinate the preparation of annual financial reports, ensuring compliance with the relevant accounting and regulatory standards.
  1. Legal and Corporate Compliance
  • Assist in managing the legal affairs of the company, including reviewing contracts, agreements, and other legal documents including loan documents.
  • Liaise with legal counsel to manage disputes, contracts, and any legal matters.
  • Ensure that the company adheres to all legal and regulatory requirements for its operations, particularly in a manufacturing and listed company context.

7.Corporate Social Responsibility (CSR)

  • Support the companys CSR initiatives by ensuring compliance with regulations relating to CSR reporting and activities.
  • Ensure that CSR activities align with the company’s values and regulatory requirements.
  • Strong knowledge of Indian legal and regulatory framework.
  • Drafting, reviewing, negotiating, and finalizing various types of contracts, agreements including banking agreements, NDAs, POA, Distributor Agreements, MOUs etc.
  • Maintaining contract database and monitoring contract obligations and renewal timelines.
  • Coordinating, managing, follow ups on ongoing litigations of the Company
  • Liaising with external legal counsels
  • Preparing case summaries, tracking litigation progress, and maintaining MIS reports.
  • Providing legal advice to various departments to minimize legal risks and ensure regulatory compliance.
  • Drafting legal opinions and internal notes on various legal issues.

 

Qualifications and Skills

  1. Educational Background:
  • Professional qualification as a Company Secretary (e.g., ICSI or equivalent).
  • Bachelor’s degree in Law, preferable
  1. Experience:
  • Minimum of 5-10 years of experience in a company secretarial role, with a listed manufacturing company.
  • Proven experience in corporate governance, regulatory compliance, and shareholder communication.
  • Experience of legal (litigation & Non litigation) will be preferred
  1. Skills:
  • Strong understanding of corporate law, sebi laws, and governance practices.
  • Familiarity with the regulatory requirements of a listed company (e.g., Securities Exchange, Companies Act, FEMA etc.).
  • Excellent communication skills, both written and verbal, with an ability to interact with senior executives, directors, shareholders, and regulatory authorities.
  • Strong organizational and time management skills, with attention to detail.
  • Ability to work under pressure and manage multiple tasks effectively.
  • Proficiency in using corporate secretarial software and MS Office Suite.
