Job Description:
  • Position 1: Legal Assistant Manager (Litigation & Dispute Resolution)
  • Position 2: Legal Assistant Manager ( Contracts & Commercial)

Key Responsibilities

  1. Litigation & Dispute Resolution
  • Assist in drafting and vetting legal notices, replies, claims, and correspondence with clients, Independent Engineers, Authority Engineers, and Employers.
  • Support arbitration and conciliation proceedings under contracts governed by the Arbitration and Conciliation Act, 1996, including pleadings, statements of claim/defence, and document compilation.
  • Coordinate with external counsel/law firms on litigation before district courts, High Courts, and NHAI/State Authority.
  • Track case status, hearing dates, and limitation timelines; maintain litigation MIS/trackers.
  • Assist in force majeure, delay, and change-in-law claim documentation and evidence gathering.
  • Liaise with project/site teams to gather factual inputs and supporting documents for disputes.
  1. Contract Management
  • Review, draft, and vet EPC/HAM/BOT concession agreements, sub-contracts, vendor agreements, JV/consortium agreements, NDAs,MOUs, Lease Deed, PoAs and Affidavits.
  • Track contractual obligations, milestones, notice periods, and compliance requirements across projects.
  • Draft/respond to contractual correspondence, including claims for cost escalation, extension of time (EOT), and change of scope.
  • Support in interpreting concession agreement clauses (e.g., Force Majeure, Change in Law, Termination, Indemnity) and advising project teams.
  • Assist in bid-stage review of RFP/RFQ documents, draft concession agreements, and bid conditions.
  1. Mergers & Acquisitions / Corporate Support
  • Support due diligence exercises (legal, contractual, and regulatory) for acquisitions, project SPV transfers, or stake sales.
    • Assist in drafting and reviewing transaction documents — SPAs, SHAs, term sheets, and ancillary agreements — under senior counsel supervision.
    • Coordinate with external law firms, valuers, and consultants during transaction execution.
    • Assist with corporate compliance for project SPVs (Board resolutions, RoC filings, statutory registers) as needed.
    1. General
    • Conduct legal research on statutes, case law, and regulatory circulars (NHAI, MoRTH, State PWDs) relevant to infrastructure contracts.
    • Assist in maintaining contract and litigation databases/repositories.
    • Support internal legal compliance and policy documentation.
    • Extend advice to other departments of the Company

    Desired Candidate Profile

    Qualification

    • B. (3-year or 5-year integrated) from a recognized university; LL.M. preferred but not mandatory.
    • Preferred-Enrolled with the Bar Council of India.

    Experience

    • 2–4 years of relevant post-qualification experience, preferably in a law firm handling infrastructure/construction/EPC matter, an in-house legal team of an EPC/construction/infrastructure company, or litigation/arbitration practice with exposure to commercial disputes.
    • Freshers with strong internship experience in construction/infrastructure law or arbitration may also be considered.

    Skills & Competencies

    • Sound understanding of the Indian Contract Act, 1872, Arbitration and Conciliation Act, 1996, and Specific Relief Act, Criminal law, Labour Law along with experience.
    • Familiarity with EPC/HAM Concession Agreements, and NHAI/MoRTH contractual frameworks is a strong advantage.
    • Skilled in claims management, including pre-claim assessments, defence strategies, negotiation
    • Strong legal drafting and research skills.
    • Ability to read and interpret technical/commercial contract clauses.
    • Good written and verbal communication skills.
    • Proficiency in MS Word, Excel, and legal research databases (SCC Online, Manupatra, etc.).
    • Ability to work under deadlines and manage multiple matters simultaneously.
    • Willingness to travel to project sites/court locations as required.
