Job Description:
Reporting To: Managing Director / CEO
Experience: 20+ Years
Qualification: Qualified Company Secretary (ACS/FCS) – Mandatory
Industry Preference: Manufacturing (Chemical, Engineering, Auto Components,
Packaging)
Work Location: Corporate Office (Agra)
Position Objective
The Company is planning to enter into a significant transformation phase through either a
greenfield expansion or an acquisition. The new business will operate under a new legal
identity, and new brand, requiring the establishment of an entirely independent legal,
governance, compliance, and regulatory framework.
The proposed Company Secretary will act as the Project Lead for the corporate
expansion, ensuring seamless execution of all statutory, legal, governance, intellectual
property, and regulatory requirements from incorporation through operational readiness.
This is a business-critical leadership role that will work directly with the Managing
Director, Board of Directors, Promoters, Legal Advisors, Consultants, Auditors, and
Government Authorities.
Key Responsibilities
1. Corporate Expansion
● Lead the complete legal and secretarial workstream for the business expansion.
● Execute incorporation of the new company.
● Drive ownership structuring and corporate expansion.
● Coordinate the transfer of assets, licenses, contracts, employees, and statutory
obligations.
● Ensure smooth coordination between the existing company and new corporate
entity.
2. Corporate Governance
● Establish the governance framework for the new organization.
● Develop Board and Committee governance processes.
● Conduct Board Meetings, Committee Meetings, AGMs and EGMs.
● Prepare Board agendas, resolutions and statutory records.
● Advise the Board and senior management on corporate governance and regulatory
matters.
3. Regulatory & Statutory Compliance
Lead all approvals and registrations required for establishing and operating the new
company, including:
● ROC & MCA compliances
● Companies Act compliance
● GST, PAN & TAN registrations
● Import Export Code (IEC)
● Factory Licence
● Pollution Control approvals
● Labour & Industrial registrations
● Digital Signature Certificates
● Banking and statutory registrations
● Any additional manufacturing-specific approvals
Ensure timely filings and complete regulatory compliance throughout the transition.
4. Intellectual Property & Brand Transition
● Lead trademark registration for the new company name and brand identity.
● Coordinate patent filings (where applicable).
● Manage copyright registrations.
● Secure ownership of domain names and digital assets.
● Coordinate with IP attorneys to protect the organization's intellectual property.
5. Legal Documentation
Oversee preparation and review of:
● Business Transfer Agreements
● Asset Transfer Agreements
● Shareholder Agreements
● Commercial Contracts
● Vendor Agreements
● Licensing Agreements
● Corporate Policies
● Governance Manuals
● Compliance Frameworks
Coordinate with external legal counsel on all corporate legal matters.
6. Compliance & Risk Management
● Develop an organization-wide compliance framework.
● Establish statutory compliance calendars.
● Create secretarial SOPs and governance processes.
● Monitor regulatory changes and ensure ongoing compliance.
● Support internal and external audits from a corporate governance perspective.
7. Stakeholder Management
Act as the primary liaison with:
● Board of Directors
● Promoters
● Managing Director / CEO
● Regulatory Authorities (ROC, MCA, etc.)
● Statutory & Internal Auditors
● Legal Advisors
● Consultants
● Banks & Financial Institutions
Ideal Candidate Profile
Qualification
● Qualified Company Secretary (ACS/FCS) – Mandatory
● LLB will be an added advantage.
Experience
● 20+ years of experience in Corporate Secretarial and Governance.
● Proven experience in corporate restructuring, mergers, acquisitions, or new
company incorporation.
● Strong understanding of Companies Act, Corporate Law, and manufacturing sector
compliances.
● Experience interacting with Boards, Promoters, and senior leadership.

● Secure all statutory registrations, licenses, and intellectual property rights for the
new organization.
● Build a governance structure capable of supporting the long-term growth of the
new business.

transformation, ensuring that the demerger, establishment of a new corporate identity,
