Job Overview:
We are seeking a qualified Company Secretary to join the team at our Kolkata location. The ideal candidate will play a pivotal role in ensuring the company complies with legal and regulatory requirements, corporate governance practices, and the smooth functioning of board meetings. This is a strategic position requiring a strong understanding of corporate laws, regulatory framework, and excellent organizational skills.
Key Responsibilities:
- Corporate Governance:
- Ensure compliance with the provisions of the Companies Act, 2013, SEBI regulations, and other relevant statutory obligations.
- Support the management in corporate governance matters and ensure adherence to best practices.
- Advise the board on matters related to corporate law, governance, and ethics.
- Secretarial Work:
- Prepare and manage minutes of the Board of Directors, AGM, and other committee meetings.
- Ensure proper maintenance of statutory registers, records, and filing of returns with ROC.
- Draft, review, and manage legal documents, agreements, and contracts.
- Regulatory Compliance:
- Manage compliance with stock exchange listing requirements, including quarterly filings, disclosures, and corporate announcements (if applicable).
- Ensure timely compliance with all relevant statutory filings, including financial disclosures, tax filings, etc.
- Legal Advisory:
- Provide legal advice on contracts, dispute resolutions, M&A, and other corporate matters.
- Liaise with legal teams, external consultants, and government bodies as needed.
- Internal Coordination:
- Collaborate with the senior management and other departments to ensure smooth communication and decision-making.
- Assist in the preparation of annual reports and other corporate documentation.
- Risk Management:
- Assist in identifying legal risks and ensure that appropriate mitigation strategies are implemented.
Qualifications and Skills:

Education:
- A qualified Company Secretary (CS) with membership in the Institute of Company Secretaries of India (ICSI).
- Additional qualifications in law or finance (e.g., LLB, MBA) will be an advantage.

Experience:
- Minimum of 3-5 years of experience in a similar role, preferably in the hospitality, real estate, or service industry.
- Proven experience in corporate governance, secretarial functions, and regulatory compliance.

Skills:
- Strong knowledge of corporate law, company secretarial practices, and regulatory requirements.
- Proficient in the use of MS Office and other software related to secretarial work.
- Excellent communication and interpersonal skills.
- Strong attention to detail, organizational abilities, and time management.
- Ability to work independently and as part of a team in a fast-paced environment.
