Job Description:

Job Overview: We are seeking a highly skilled and experienced company secretary (CS) to manage and oversee secretarial functions, ensure compliance with relevant legal and regulatory frameworks, and handle a variety of corporate matters. The ideal candidate will have extensive knowledge and practical experience in managing company secretarial duties, corporate governance, and statutory compliance.

Key Responsibilities:

  • Secretarial Work & Compliance: Handle all secretarial duties for the company, ensuring compliance with the Companies Act, FEMA Act, LLP Act, and other relevant regulations.

  • Corporate Governance: Ensure the company complies with corporate governance requirements, maintaining statutory registers and records.

  • Incorporations & Conversions: Oversee the incorporation of new companies and the conversion of companies, ensuring legal formalities are met.

  • Mergers & Amalgamations: Manage all aspects of merger and amalgamation processes, including drafting, filing, and liaising with regulators.

  • Buybacks & Private Placements: Handle buyback processes, private placements, and other fundraising activities, ensuring adherence to legal requirements.

  • Routine Filings: Ensure timely filing of all necessary statutory returns with the relevant regulatory authorities, including annual filings, changes in directorships, financial statements, etc.

  • Due Diligence: Conduct due diligence on mergers, acquisitions, and other corporate actions, ensuring that all legal aspects are appropriately addressed.

  • Advisory: Provide legal and secretarial advice to management and ensure effective implementation of legal requirements across the organization.

Qualifications & Experience:

  • Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).

  • Strong understanding of the Companies Act, FEMA Act, LLP Act, and related legal frameworks.

  • Proven experience in handling mergers, amalgamations, buybacks, private placements, and corporate filings.

  • Experience in drafting resolutions, agreements, and compliance documents.

  • Excellent communication, analytical, and organizational skills.

Other Skills:

  • Strong attention to detail and ability to manage multiple tasks.

  • Ability to liaise with government bodies and regulatory authorities.

  • Proficient in using company secretarial software and MS Office tools.
