We are seeking a seasoned and detail-oriented Company Secretary with comprehensive knowledge and hands-on experience in managing statutory compliances. The ideal candidate will be adept at ensuring corporate governance and regulatory adherence for the organization.

Key Responsibilities:

1. SEBI Compliances:
Ensure adherence to all listing compliances for NSE and BSE.

2. Website Updates:

Regularly update the company's website in compliance with MIL requirements.

3. ROC/MCA Compliances:
Handle compliances for Listed Companies, Private Companies, NBFCs, and LLPs.

4. Meeting Management:

Conduct Annual General Meetings (AGMs) and Board Meetings (both virtual and in-person).

5. Documentation:

Prepare notices, agendas, minutes, resolutions, directors' reports, and annexures.

6. Dividend & CSR Compliance:

Manage dividend-related processes, Corporate Social Responsibility (CSR) obligations, and compliance with IEPF regulations.

7. Liaising:

Coordinate with shareholders, RTA, stock exchanges (NSE & BSE), ROC, depositories, banks, and other external parties as required.

8. Dematerialization of Securities:

Oversee and manage the process of securities dematerialization.
 
Experience: 5-7 years in a listed company.

Candidates Profile:

  • Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI).
  • Candidate should be from a listed company.
  • Extensive knowledge of SEBI regulations, Companies Act, and other relevant laws.
  • Strong communication and interpersonal skills for effective liaising with internal and external stakeholders.
  • Proficiency in drafting, reviewing, and maintaining legal and compliance documentation.
  • Attention to detail and ability to manage multiple tasks in a dynamic environment.
