Job Description:

Key Responsibilities

1 Corporate Governance & Board Support

  • Organize and coordinate Board and Committee meetings (e.g., Audit, Risk, Remuneration), including agenda-setting, papers preparation, minute-taking, and follow-up on action items.
  • Advise the Board on governance practices, directors’ duties, conflict-of-interest matters, and ethical standards.
  • Maintain the statutory registers and records (e.g., directors, shareholders, charges) in compliance with the Companies Act, RBI guidelines, SEBI regulations (if applicable), and other relevant laws.

2 Compliance & Regulatory Liaison

  • Ensure timely filings under the Companies Act 2013 (e-forms), FEMA provisions, RBI Master Directions, and other applicable statutes.
  • Liaise with regulators (RBI, SEBI, MCA), external auditors, legal counsel, and statutory bodies, coordinating inspections and audits.
  • Monitor changes in corporate, banking, securities, and labour laws; update internal policies and processes accordingly.

3 Secretarial Audits & Risk Management

  • Plan and oversee periodic secretarial audits; address audit observations with corrective action plans.
  • Identify and mitigate governance, regulatory, and compliance risks; maintain the Risk Register for matters under the CS function.
  • Support the Internal Audit and Compliance teams in joint reviews, as needed.

4 Advisory & Policy Development

  • Draft and update corporate governance policies (e.g., Code of Conduct, Insider Trading Regulations, Board Charter).
  • Provide legal and procedural advice on mergers & acquisitions, debt-raising, share issuances, and other corporate transactions.
  • Guide management on dividend declarations, share transfers, ESOPs, and corporate restructuring.

 

5 Stakeholder Management & Disclosure

  • Oversee share registry matters and investor services (irdai disclosures, dividend payouts, share certificates).
  • Prepare and review the Annual Report’s ‘Corporate Governance’ section and other statutory disclosures.
  • Coordinate with Registrar & Transfer Agents for ballots, proxies, and shareholder communications.
