Job Description:

Job Title: Company Secretary (CS) – Corporate Governance & Compliance Location: Breach Candy About the Role: We are looking for a qualified and experienced Company Secretary (ACS) to independently manage all corporate governance and compliance responsibilities. The ideal candidate will serve as the primary point of contact for the board of directors, shareholders, regulatory authorities, and internal stakeholders on matters related to company law, SEBI regulations, and other statutory compliances. Key Responsibilities: • Serve as the key liaison for the Board of Directors, shareholders, and regulatory bodies. • Independently manage statutory compliance with the Companies Act, SEBI regulations, and Listing Obligations. • Prepare and circulate notices, agendas, and supporting documents for board and committee meetings. • Attend board meetings, record accurate minutes, and maintain statutory records and registers. • Draft and file statutory documents including annual returns, resolutions, and meeting minutes with ROC/MCA, Stock Exchanges, and other authorities. • Ensure timely and accurate XBRL filings, SDD (Structured Digital Database) maintenance, and use of related software platforms. • Monitor legal and regulatory changes, ensuring up-to-date compliance practices and advising management accordingly. • Manage shareholder communications and facilitate AGMs/EGMs. • Conduct periodic governance reviews and provide guidance on best practices. • Liaise with external advisors, legal consultants, auditors, and regulatory authorities as needed. • Implement and guide internal governance frameworks and compliance protocols. Key Requirements: • Qualified Company Secretary (ACS) and active membership with ICSI. • Minimum 5 years of experience in handling company secretarial functions independently. • Strong knowledge of the Companies Act, SEBI regulations, Listing Rules, and corporate governance frameworks. • Hands-on experience with: o XBRL filings o ROC (MCA) e-filings o SDD & XBRL software • Excellent drafting and communication skills in English, with strong attention to detail. • Ability to work under pressure, manage confidential data, and handle responsibilities independently. • Proficiency in using secretarial and compliance software tools. Preferred Qualifications: • Certification in corporate governance or related legal compliance areas. • Legal background or additional law qualification. • Familiarity with governance technology platforms and compliance tools. • Multilingual communication skills for dealing with diverse stakeholder
