Job Description:

POSITION: Legal Counsel
Reports to: Head of Legal
Business Unit: Legal 
Location: Mumbai

Position Purpose:

• To manage the general legal requirements of documentation, advisory and handle legal queries from the AMC and Trustee Company

• To work closely with the Head of Legal – India and the Company Secretarial function. To also liaise with other executives of the company to help the AMC meet its business objectives
• To work closely with the Compliance function to ensure compliance with all applicable laws, and SEBI regulations.

Principal Accountabilities:

• All legal matters of the AMC – primarily involving vendor and contract management, marketing and distribution, product development, the mutual funds/asset management area (domestic as well as offshore), operations, finance, employment related queries and other ancillary legal advice arising out of running a business of this nature in India.
• Drafting and vetting of all legal documentation which shall include, inter alia, IT & non-IT vendor contracts, employment, lease, leave & license, consultant/sub-consultant contracts, product terms and conditions, distribution, referral and broking arrangements, non-disclosure, marketing, e-commerce etc.
• Litigation Management, involving co-ordination with branch personnel and advocates of various jurisdictions in India relating to pending litigations and providing timely instructions for conducting litigations and for complying with court orders, maintaining MIS of pending litigations and follow up.
• Legal Research, analysis, interpreting and advising new laws and regulations to various teams such as investments, operations, finance, HR, etc.
• Monitor, advise and assist in ensuring that the Entities do not contravene relevant laws (particularly financial services and corporate laws) or breach its contractual obligations.

Knowledge, Skills, Competencies

Knowledge

 Bachelor of Laws.
 Company secretarial experience would be an advantage
 Experience in Indian financial services laws and other laws regulating the conduct business activities in India.
 Exposure to SEBI Regulations and Companies Act
 Corporate and commercial legal experience.

Preferred Industry
Experience

 Ideally the candidate should have experience in the mutual fund/asset management industry though not a pre-condition.
 If not from mutual fund space, the candidate could be drawn from the financial services space including insurance, commercial & investment banks, non-banking finance companies, Consulting & Law firms.
 5- 7 years of work experience as a lawyer
