Job Description:
A Company Secretary (CS) Fresher handles crucial corporate governance, compliance, and legal formalities, including maintaining statutory books, preparing board meeting agendas/minutes, and filing returns under the Companies Act and SEBI regulations. They act as a vital link between the board, shareholders, and regulatory authorities.
Key Responsibilities for Freshers:
- Compliance & Legal: Ensure adherence to the Companies Act 2013, SEBI Regulations, FEMA, and other corporate laws.
- Board & Shareholder Meetings: Assist in organizing board meetings, annual general meetings (AGMs), and extra-ordinary general meetings (EGMs), including preparing agendas, drafting resolutions, and taking minutes.
- Statutory Records: Maintain statutory books, registers (members, directors), and handle documentation.
- Filings & Procedures: File annual returns, forms, and other reports with the Registrar of Companies (ROC) and other regulatory bodies.
- Governance Support: Support the board on corporate governance matters and company policy implementation.
Required Qualifications & Skills:
- Education: Qualified Company Secretary (ICSI) or CS Executive/Professional passed.
- Knowledge: Strong understanding of corporate laws, secretarial standards, and regulatory compliance.
- Skills: High attention to detail, strong communication skills (written/verbal), proficiency in MS Office, and ability to handle confidential information.
