Job Description:
A Company Secretary (CS) with IPO experience manages end-to-end regulatory compliance, corporate governance, and documentation for taking a company public. Key responsibilities include drafting the DRHP/RHP, coordinating with merchant bankers/regulators (SEBI/RoC/Exchanges), conducting due diligence, and ensuring compliance with the Companies Act and SEBI LODR.
Key Job Responsibilities
- IPO Execution: Manage end-to-end IPO execution, including DRHP (Draft Red Herring Prospectus) and RHP (Red Herring Prospectus) preparation and filing.
- Regulatory Liaison: Act as the primary liaison with SEBI, Stock Exchanges (NSE/BSE), RoC, NSDL, and CDSL.
- Corporate Governance & Due Diligence: Restructure the Board and committees (Audit, NRC) to meet listing requirements, and populate the Virtual Data Room (VDR) for due diligence.
- Compliance Management: Ensure strict adherence to Companies Act 2013, SEBI (ICDR) Regulations, and SEBI (LODR) Regulations.
- Documentation: Draft Board/Shareholder resolutions, statutory certificates, and agreements with intermediaries.
- Post-IPO Compliance: Manage listing requirements, post-issue documentation, and investor grievance redressal.
Required Qualifications & Skills
- Qualification: Qualified Company Secretary (ACS/FCS) with a member of ICSI.
- Experience: Proven experience in managing at least one IPO/public issue and post-listing compliance.
- Knowledge: Deep understanding of SEBI (ICDR) and LODR regulations, FEMA, and Companies Act, 2013.
- Skills: Strong legal drafting, interpersonal, and coordination skills to work with intermediaries.
