Job Title: DVP - Company Secretary
Location: BKC, Mumbai
CTC: As per company norms

Key Responsibilities

  1. Board & Committee Governance

  • Plan, convene, and manage Board and Committee meetings, including agenda finalization, circulation of papers, and preparation of minutes.
  • Ensure timely implementation and tracking of Board decisions.
  • Advise the Board on corporate governance best practices and regulatory expectations.
  1. Regulatory & Statutory Compliance

  • Ensure compliance with Companies Act, 2013, RBI Act, Banking Regulation Act, SEBI (LODR) (if applicable), and other relevant laws.
  • Liaise with RBI, SEBI, Stock Exchanges, and other regulatory bodies.
  • Oversee filing of statutory returns, disclosures, and certifications.
  • Monitor regulatory changes and proactively advise senior management on impact and implementation.
  1. Corporate Governance & Policy Framework

  • Develop, review, and update governance frameworks, charters, policies, and codes in line with regulatory requirements.
  • Support Board evaluations and governance reviews.
  1. Secretarial & Legal Advisory

  • Provide expert guidance on corporate law, banking regulations, and governance matters.
  • Oversee maintenance of statutory registers, records, and documentation.
  • Coordinate with external legal counsels, auditors, and consultants.
  1. Shareholder & Stakeholder Management

  • Manage shareholder communications, general meetings (AGM/EGM), and investor-related governance matters.
  • Ensure smooth conduct of AGMs/EGMs, including notices, resolutions, and voting processes.
  1. Leadership & Team Management

  • Lead and mentor the Secretarial / Governance team.
  • Drive process improvements, automation, and strong compliance culture within the function.

  • Strong board-level communication and advisory skills
  • Ability to interpret and implement complex regulatory requirements
  • High levels of integrity, discretion, and professional judgment
