Job Description:

Role: M&A support and General Corporate Location: Mumbai With multiple activities being undertaken including numerous tie-ups, alliances, strategic partnerships, restructuring etc there is a marked increase in legal support required on the non-lit side by various business, functions and Group Companies. Resource with experience and capable of handling matters independently and taking calls on various critical contracts and matters is hence required to shoulder the increased workload and even distribution work. Role would primarily involve providing legal advisory, support and guidance on structuring of group companies, monitor compliance on various legal matters including contract management, advisory support, monitoring compliances, providing support to business teams on day-to-day basis on business transactions and associated areas of law, engaging independently with internal and external stakeholders etc. 1. MERGERS & ACQUISITIONS • Transaction Execution: Assist / lead end-to-end execution of NSE’s in-house M&A transactions, acquisitions, divestments and other corporate transactions. • Assist in structuring, execution and closure of transaction in coordination with business, investment, finance and leadership teams. • Support deal execution timelines and ensure legal deliverables are managed efficiently throughout the transaction lifecycle. • Transaction Documentation: Draft, review, negotiate and finalize transaction documents including share purchase agreements, share subscription agreements, shareholders agreements, business transfer agreements, term sheets / LOI’s, non-disclosure agreements and miscellaneous ancillary documents; co-ordination with internal teams and external lawyers. Additionally, you will be responsible for ensuring the transaction documents address and include commercial understandings, risk allocation and regulatory considerations. • Legal Advisory to internal teams: Act as a legal advisor to internal teams including investments and business teams on transaction related legal and commercial issues, provide practical and risk-based legal guidance to support business decision-making, advising stakeholders on legal implication, contractual positions and deal related risks. • External Counsel & Advisor Management: Liaise and coordinate with external law firms, consultants and transaction advisors, manage legal workstreams handled by external counsel and ensure timely delivery and alignment with transaction objectives, review and manage engagement letters, mandates etc., • Documentation & Knowledge Repository: Develop, maintain and update transaction repositories, documentation databases and legal knowledge records, ensure organized maintenance of executed agreements, transaction records, templates and precedent documents, support process improvements and transaction workflows. • Cross-Functional Coordination: Work closely with finance, secretarial, investments and other business teams to ensure smooth execution and closure of transactions, support miscellaneous legal and operational requirements connected with M&A and corporate transaction activities. GENERAL CORPORATE & COMMERCIAL SUPPORT • General Corporate: Provide legal support and assistance to various internal teams / stakeholders by drafting, reviewing negotiating and finalizing various contracts / agreements including audit related engagement letters with Big 4’s, professional service agreements, technology and software licensing agreements, payment aggregator agreements, marketing and advertising agreements, agency agreements, vendor and promotional contracts, sponsorship and collaboration agreements. You will be required and responsible to advise on contractual protections, liability allocation, commercial risk considerations and ensure safeguarding business and brand interests. • Intellectual Property Rights: Manage and support NSE and its group company’s intellectual property portfolio with primary focus on trademarks and brand protection matters. Coordinate trademark filings, renewals, oppositions, prosecution and related documentation with external IP counsel and internal stakeholders. Advising internal teams on trademark usage, brand protection and IP-related legal considerations. Maintain and update trademark and IP related record and documentation. Experience in corporate legal, commercial contracting, M&A and advising matters with reputed law firms / in-house. • Strong drafting and negotiation capability across transaction and commercial contracts. Experience in handling IP and trademark matters. Strong stakeholder management, commercial understanding, ability to independently manage legal workstreams and manage / lead a team. • Commercially oriented and solution-driven approach. Strong ownership ability to manage and execute multiple matters. Excellent communication and cross-functional collaboration skills. • Knowledge of financial and capital markets and statutory requirements applicable to the financial markets • Resolving and guiding business and regulatory teams on various legal queries.
