Job Description:

Contract drafting vetting and negotiation: Review all contracts or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the management’s attention. Prepare, review and modify contractual instruments to assist and support various business activities. Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary process.

·      Contracts pertaining to client, intermediaries, suppliers, JV partners, lenders etc.

  • Finance documents with lenders of the Company 
  • Joint Venture and Share Holders Agreement
  • MOUs with vendors, JV Partners, etc

·      Contracts both for sub-contractors, vendor as well as on client’s contract.

Coordination with the external legal counsels as and when required.

Legal risk : Review and provide legal advice on tender documents. Review ongoing cases and advice management accordingly. Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken. Provide legal protection and risk management advice to management especially on contract management.

Policy development: Review and advise management on legal implications of internal policies and procedures. Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.

Litigation and arbitration management: Review progress of any arbitration and litigation matters and liaise with and manage external lawyer. Securing company and it’s all possessions from any illegal problems

Regulatory compliance:  Advising on regulatory framework and managing legal compliances related to company formation. Formulate compliance process to be used for the purpose of ensuring that all information required is provided accordingly. Continuously monitor compliance with statutory obligations and advise management accordingly. Advising on general business law issues and managing the legal issues of all areas of the company.

Desired Profile / Criteria / Skills :

Qualification and Experience:

Law degree with minimum 18 years of experience ideally in leading organizations. Must be leading the department in the last assignment.

CS will be an added advantage

 

Technical Competencies & Skills:

·       Strong knowledge of contracts

·       Experience of handling international contract

Sound knowledge of law and interpretation
