Company Secretary

Job Description:

We are looking for a dynamic and experienced Company Secretary to manage the corporate governance, compliance, and secretarial functions of our renewable energy business. The role demands expertise in handling complex entity structures, fundraising transactions, statutory obligations, and end-to-end lifecycle management of SPVs and Holding Companies. The ideal candidate will have prior exposure to infrastructure and renewable energy sectors.

Key Responsibilities

• Manage the complete secretarial and compliance functions of the organisation in line with the Companies Act and other applicable laws.
• Handle end-to-end lifecycle of SPVs and HoldCo, including incorporation, governance, structuring, and compliance.
• Draft, review, and manage Shareholders’ Agreements (SHA) and related corporate documents.
• Lead and coordinate statutory filings, board meetings, general meetings, and regulatory submissions.
• Provide strategic support in fundraising activities, including investor due diligence, documentation, and compliance oversight.
• Ensure corporate governance standards are implemented and adhered to across all entities.
• Liaise with regulators, legal advisors, and external stakeholders on compliance and governance matters.
• Partner with leadership to advise on risk mitigation, corporate structuring, and best practices.

Key Requirements

• Qualified Company Secretary with 5+ years of post-qualification experience.
• Experience working with infrastructure and renewable energy companies is essential.
• Proven exposure to SPVs, Hold Co structuring, and fund-raising transactions.
• In-depth understanding of corporate laws, governance frameworks, and statutory compliance.
• Strong stakeholder management and communication skills.
• Ability to work in a high-growth, fast-paced environment with precision and accountability.
