Job Description:

Designation: Compliance Officer

Reporting to – Chief Executive Officer & Executive Director

Department: Legal & Secretarial

Qualification: Qualified Company Secretary

Work Experience: 08-10 Years

Work Location: Honda Goa

Desired Skills: Good Communication Skills, Drafting Skills, conversant to computer – MS Office (Word, Excel, Power point, Outlook, Desktop Publishing, emails, good in surfing internet sites),

Knowledge of different Online Govt. websites.

Candidate should be from Goa or neaby Goa border.

 

Job Profile:

1.Contract Management- Drafting, vetting of various contracts; Database of Legal Agreements

2.Litigation Management including drafting/ review of legal case documents,

3.Litigation Report for the Board, Strategic decision wrt legal matters

Secretarial:

4.Board meetings: Conduct of the Board / Committee / Members and other Statutory Meeting

5.Preparation / Finalisation of Board/ Committee Agenda; Uploading the Agenda on Board App and related matters

6.Prepartion & circulation of draft Minutes and finalisation of Minutes

7.Action Taken Report for the Meetings and follow up

8.Review / revision of mandatory Company Policies and Company Charters

9.CSR : Review, evaluation and monitoring of CSR Projects and updates to the CSR committee

10.Compliance with the Secretarial requirements under Statutory & Internal Audits

11.Secretarial Audit

12.Annual Report preparation and conduct of AGM

13.Ensuring the maintenance of various Statutory Registers

14.Monitoring and evaluation of Company Website in terms of Statutory Laws

15.Monitoring / review of E-filings with MCA

16.E-verification reports review before filing

17.Board Members: Flow of information/updates to them; Action Taken Report update; Familiarisation Program; Coordination for meetings and assisting them, guidance to them wrt compliance and for their duties, obligations and responsibilities

18.Compliance: Monitoring Legatrix Tool; Keeping track of latest regulatory updates and ensure compliance; compliance with the Companies Laws and SEBI Securities Laws and other corporate laws, regulations and circulars

Additional Responsibilities:

19. Restructuring & strengthening the Legal Sec & Compl. function from long term stability

20. Developing skillset among team members to prepare them to take more responsibilities.

21. Assessing past gaps and to take corrective measures including compliance under SEBI PIT Regulations
