Job Description:

Job Title: Sr. Manager

Location: Pune

Description: This position will be based in Pune, India and reports to the CFO. She or he will serve as legal advisor to the respective businesses of FM India partnering with the business and functional teams to support growth, implement business plans and facilitate key strategic projects. Further responsibilities include the following:

CONTRACT & RISK MANAGMENT- [75% of total scope] Serve as the first point of contact in FM India and work with the other members of the FM India leadership and functional teams, deliver legal services for respective FM India businesses in a timely and effective manner across the region.

 

  • Analyze and advise on all legal and regulatory issues relating to commercial and contract law, intellectual property, leasing, licensing, corporate compliance, labour & employment, Contract liability, competition law, and risk/opportunity analysis of potential transactions.
  • Manage litigation for and against FM India in the region and direct dispute resolution efforts and strategies.
  • Serve as Contracts Leader and manage the FM India contract review and management function in alignment with the FM India contracts processes, GLOBAL GUIDELINES, baseline terms and practices. Identifies and mitigates risks connected with non-standard conditions and customer direct changes in proposed contractual documents; communicates concerns and issues clearly to the organization; Advises FM India (sales/ operations managers/Solutions) concerning legal and contractual requirements.

 

  • Draft, negotiate and manage legal documentation for a broad range of commercial transactions (including customer Service agreements, supply agreements, distribution agreements, sales representation agreements, RFQ, software agreements, Lease, Leave &License, ATL-Agreement to lease, non-disclosure agreements, MOU, Appointment letters, employment contracts, consulting agreement, PO, Work order, Labour related contract etc.). Due diligence, title verification of property when lease deed, ATL, L&L to be signed.

 

  • Conduct extensive preventive law training on a wide variety of topics, including ethics policy, code of conduct, contracting excellence, Prevention of Corruption Act and workplace issues and policies. Coordinate with global team for compliance governance and  related issues.
  • Support in developing standardized processes and templates for the efficient delivery of legal services.
  • Able to face audit, cross functioning support, MIS, monthly report etc.
  • Ensure timely renewal, amendment, closure etc.
  • Use of software related to contract management
  • Maintain a repository of all FM India contracts

 

  • LITIGATION MANAGEMENT-  To control the quality and cost of legal services provided by external law firms and to provide recommendations for the selection of external law firms in relation to these responsibilities. Identify and find ways to reduce legal and operational risk.  Promote, lead and manage the culture and ethics to ensure the conduct of business is within legal, regulatory requirements and ethical standards consistent with supporting organization strategic direction and growth aspirations.

 

  • COMPLIANCE MANAGEMENT-  Overall Compliance governance, Implementation of compliance project, reviewer of Compliance in India, Lead on policy & procedure, Investigation, Whistleblower, Risk Identification, Compliance Support and training etc.

 

  • INSURANCE MANAGEMENT- Managing all liability/ legal Insurance policies, ensuring better terms and renewal

 

Qualification:
• LL.B, LL.M
• 8-10 plus years of relevant experience in in-house legal or with major law firms and/or corporations as an attorney.
• Strong multinational business transactional experience, including business acquisitions, dispositions and joint ventures as well as commercial agreements. Transactions negotiation experience in the Supply chain will be an added advantage.
• Experienced in conflict resolution at the pre-and post-litigation stages of dispute resolution.
• Strong intellectual capacity and high personal standards of excellence.
• Personal presence, communications skills and credibility necessary to effectively interact with and influence senior management.
• Integrity and good judgment are extremely important.
• Ability to set priorities for oneself.
