Job Description:

Purpose of the Job Legal support in all legal matters pertaining to the land acquisition (land aggregation process) required for development of energy projects (wind, solar, renewables, etc) in India. Reporting line The Land Counsel will report to the General Counsel of  India. Key Accountabilities ESSENTIAL COMPLIANCE RELATED RESPONSIBILITIES OF THE ROLE: • Ensure the Land Acquisition Process is in full compliance with policies and procedures issued by the  Group (including but not limited to Ethics and anti-corruption/anti-bribery guidelines), monitor and report any possible non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the  Group (insuring  Zero Tolerance Policy on ethics noncompliances); and • Create awareness among all Project Team members and report to the Ethics Line on any ethical and human rights issues (or any other non-compliances) arising on any Project. ESSENTIAL PROJECT RELATED RESPONSIBILITIES OF THE ROLE: • Identifying the legal risks and issues in relation to procurement (purchase/lease) of land for a project; • Ensuring that acquisition of project land is in compliance with the applicable local land laws, including relevant notifications, policies, permits and consents, etc., which may have an impact on the project; • Reviewing the title diligence reports prepared by the local counsel/ external counsel with respect to the project land and propose mitigation measures with respect to risks and liabilities identified by the counsel for acquisition of the project land; • If required, independently examining any documents and records in connection with the verification of title and right of the sellers over the project land; • Engaging with land aggregators/developers for clarification of discrepancies and execution of land related documents; • Assisting in obtaining necessary permits/clearances from the state government and other authorities for land acquisition; • Coordinating with external and internal counsels and track document collection/requests; • Preparing and maintaining land acquisition tracker and presenting it before the senior management, as and when required; DocuSign Envelope ID: 6FA238A1-B2BB-4A32-9B5A-C31994A504BA • Taking full lead and involvement on any litigation, claim or dispute related to Project Land (or the Land Agrégation Process for acquiring such Project Land). The role also includes the close coordination and monitoring of any local counsel that maybe engaged in the litigation, claim or dispute to defend the interest of Engie Group. Qualifications Law Degree from a reputable university. Experience • 5+ years legal practice in real estate, particularly in development of renewable power projects. • Should be conversant with both private as well as revenue land procurement process. • Should have fair knowledge of land related regulations both at central and state level, proficiency with state specific regulations on land use conversion, ceiling, land restrictions etc. • Should be fully conversant with documentation required for land procurement, title search report, due diligence, no objection certificates from state authorities, agreement for sale, sale deed, lease deed, mutation, land use conversion etc. • Experience on litigations. claims and disputes related to the Land Aggregation business in India. • Should have a full and detailed knowledge of all local and international regulations related to AntiCorruption and Anti-Bribery. Should have a clear knowledge of the material negative risk to bribery and corruption situations on the Land Aggregation business in India. • Good working relationship with land officials and private land developers. • Should be conversant with wind/solar project development/execution cycle. • Large law firm experience preferred, large corporate practice also valued. Language Excellent command over English. Knowledge and Skills • Strong contract drafting and contract interpretation skills. • Basic negotiating skills. • Advanced user of MS excel, PowerPoint and word. • Ability to provide sound legal advice. • Ability to deal with complexity. • Organizational skills. • Ability to work within a team of members from varying cultural backgrounds as well as with counterparts of varying cultural backgrounds. • Ability to maintain high levels of focused drive and energy, giving above what is required to get the job done. • Professional and ethical. •
