JD:
1. Draft, review, negotiate, and finalize MSAs, WTGAs, Balance of System (Solar)/Balance of Plant (Wind) agreements, O&M contracts for Wind/Solar/ Hybrid Projects including of LDs , warranties, defect liability period , limitation of liabilities, termination, force majure clauses, ensuring alignment with project requirements, timelines, budgets, and risk mitigation. Also to draft and finalize related EPC/IPP agreements practices .
2. Provide input on commercial terms, legal compliance, taxation implications (e.g., GST, customs duties), regulatory requirements (e.g., CERC, state RE policies), and contract administration best
3. Collaborate and liaise with Internal Stakeholders viz. project team, legal team and external legal counsel, finance, and procurement to identify risks, resolve disputes, and optimize contract terms for cost efficiency and performance, should have strong conflict management capability.
4. Stay updated on renewable energy regulations (CERC/State Regulations), industry standards (e.g., IEC,CEA, MNRE guidelines).
5. Identify and allocate key contractual risk related to :
Project delays, ROW and Land issues, force majure
Module performance and degradation (Solar)
WTG availability, foundation, and interface risk (Wind)
6. Ensure timely contract closure without becoming bottleneck to project execution schedule , should have ability to balance speed vs risk protection
7. Manage and improve standard contract templates and best practices
8. Ensure learnings from past projects and disputes are incorporated into future Contract structure
